Legal Specialist

Summary of primary duties and responsibilities:

  • Review business contracts (customers + suppliers: NDA, RFQs, specifications –incl. quality and logistics spec; General Terms & Conditions of sales…) and highlight main risks
  • Suggest drafts / rewording of contractual documentation where needed to ensure that contracts reflect the business understanding of the parties (provide clear analysis and advice on contractual obligations and risks)
  • Ensure proper alignment between what is required by our customers and what is required from our suppliers/sub-contractors (clearly identify L&L’s responsibility)
  • With support of Senior Counsel, develop standards for contracts, general language and provisions, taking into account relevant departments’ requirements
  • Ensure that contracts are properly referenced into database, can be followed-up and are accessible
  • Ensure follow-up of the contract (renewal, extension, termination) and identify issues or changes requiring resolution at renewal stage
  • Raise potential issues (compliance of contractual documentation with local laws: purchase orders, GTCs…)
  • Ensure proper referencing of contractual documents into the more general contractual framework (reference of proper edition of contracts in purchase orders…)
  • Support business teams in official correspondence between L&L, the customer and sub-contractors and any third parties arising out of contracts (be involved as early as possible in potential conflict situations)
  • Promote contract management culture in company at various levels through training, workshops, etc.
  • Ensure compliance with signature authority and other internal policies related to contracts
  • Support and promote compliance program

  • Review, identify risks, draft change requests on commercial customer contracts and all appendices
  • Review, identify risks, draft change requests on commercial supplier contracts
  • Review and draft change requests on NDA
  • Promote legal and contract culture
  • Contract Management (ensure proper referencing, ensure contract continuously reflects business understanding of the parties = make contracts evolve and ensure amendments are properly referenced)
  • Management of External Legal Counsel
  • Have contracts signed by entitled person
  • Answer basic compliance questions (on invitations, gifts, etc.)

Job Requirements:

Education/Experience: 

  • Juris Doctor, Law
  • 5-8 years’ experience managing commercial contracts, preferably in the automotive industry
  • Computer proficient – MS PowerPoint, Word, Excel.

  • Ability to work well with others in a highly collaborative, cross-functional environment across different teams (locally and globally).
  • Passionate, energetic and assertive.
  • Self-directed. This is a highly autonomous role with remote reporting line.
  • Ability to work closely with business people (purchasers, sales managers, project leaders…) and Senior Counsel
  • Ability to work with and manage external lawyers when needed
  • Excellent communication skills
  • Must have a high standard of business/professional ethics
